Joe Palmisano

Joseph D. Palmisano

Joseph D. Palmisano is the founder of Palmisano & Moltz and has over 35 years of experience in practicing law and giving business advice. His expertise entails all aspects of real estate, commercial transactions, estate planning and probate as well as commercial and real estate litigation. Mr. Palmisano is general counsel for multiple mid-size companies with annual gross revenues of $50 million to over $300 million. He has been involved in many prominent real estate transactions and developments in the Greater Chicago metropolitan area, Wisconsin, Indiana and elsewhere during his long career.

Mr. Palmisano has a wide range of experience in advising corporate entities, entrepreneurs, emerging businesses, strategic investors and individuals in the formation of new business entities, development (through acquisitions, strategic alliances, joint ventures, and licensing), corporate structuring (buy-sell agreements, employment and other agreements), and restructuring (stock sales, renegotiations, mortgage foreclosure defense, workouts with lenders consisting of forbearance agreements, shorts sales, deed-in-lieu agreements) of their businesses. His clients operate in various industries including manufacturing, construction, real estate development and distribution companies as well as consumer product corporations.

Steven E. Moltz

Steven Moltz has been practicing as an attorney and business advisor since 1998. His practice encompasses real estate and commercial transactions. He has extensive experience in representing builders, developers, investors and real estate management companies in all aspects of real estate including residential, commercial, industrial, acquisitions and dispositions, and development of mixed use properties. He has negotiated numerous office, industrial and shopping center leases. Over the course of his career, he has been lead counsel in hundreds of high profile real estate development projects throughout the Chicagoland area, including residential new construction, residential condominium conversion and mixed use projects. Mr. Moltz’s real estate practice also entails representing clients in restructuring their distressed real estate portfolios by negotiating short sales, loan forbearance agreements and deed-in-lieu agreements.

Mr. Moltz serves as an experienced and trusted advisor to many large and midsized privately-held businesses. He has advised clients in the formation, capitalization, and restructuring of their businesses. Over the course of his career, Mr. Moltz has counseled business clients in negotiating joint venture agreements, asset purchase and sale agreements, partnership agreements, shareholder agreements as well as in implementing succession planning.

Kimberly A. Palmisano

Kimberly Palmisano primarily practices in the areas of commercial transactions, international corporate formation, structuring, and real estate. She is outside general counsel to an array of companies in sectors such as cosmetics, fashion, real estate development, and manufacturing. Ms. Palmisano advises on a broad array of issues such as business expansion opportunities, strategy, business plans, marketing, distribution, licensing, and exit strategies. She assists international companies and entrepreneurs in the business and legal aspects of expanding businesses and negotiating transactions.

Her real estate practice encompasses commercial, industrial and residential transactions with a focus on representing developers, owners, property managers and individuals in all phases of the development process, from the acquisition, financing and construction of buildings and projects through their ultimate leasing or disposition.
